Advanet counts clients among Japan's most important manufacturers.

The consideration for the transaction has been set by the parties at approximately 7.6 billion yen and will be subject to adjustment based on the net financial position and current assets of the Advanet Group on the closing date. This consideration represents a valuation of the Advanet Group based on a multiple of 8 times the Adjusted EBITDA of the Group. The consideration for the acquisition will be paid at closing using the Company's cash on hand, which is equal to 60 million Euro as of the date hereof.

The acquisition contract also contains a put and call mechanism for the remaining 35% of the Advanet share capital, which provides:

- the option for Eurotech (i) to acquire 25% of Advanet's share capital in the 2 months following the approval of the Advanet Group's financials for the period ending in December 2009, for consideration calculated by applying a multiple equal to 8 times the EBITDA of the Group as of December 31 2009, and (ii) to acquire the remaining 10% of Advanet's share capital, during the period from the closing date until five years after such date, for consideration to be determined on the basis of a valuation agreed among the parties or prepared by an independent expert; the option for the Advanet shareholders (i) to sell Eurotech 25% of Advanet's share capital in the 2 months following the approval of the Advanet Group's financials for the period ending in December 2009, for consideration calculated by applying a multiple equal to 8 times the EBITDA of the Group as of 31 December 2009, and (ii) to sell the remaining 10% of Advanet's share capital, after 5 years form the closing, for consideration to be determined on the basis of a valuation agreed among the parties or prepared by an independent expert;

"Advanet will allow Eurotech to enter the Japanese market as a major player and to further expand our presence in the Asian market, said Roberto Siagri, President and Chief Executive of Eurotech. "With this acquisition, Eurotech achieves the crucial size and international presence to position us by right among the world leaders in this sector. Advanet's product portfolio and technologies are fully complimentary to our own and will allow us to further expand our product offerings, with inevitable benefits for all of the Group's clients."

Fumio Komatsu, Chief Executive of Advanet, said: "As managers we always pursued growth and success for the Advanet Group. I strongly believe that the global market represents a huge opportunity for Advanet products. To enter the Eurotech Group will allow us to move outside the Japanese market and to be ready to challenge a new larger market and start a new growth phase."

ADVANET
Five-Port Fast Ethernet/Ethernet Switch from Parvus Corp. Targets Even Broader Embedded Computing Applications

SALT LAKE CITY - March 12, 2003 - Parvus Corporation today announced that its 10/100 Ethernet Switching Hub is now available in four different configurations to accommodate an even broader array of embedded network control and data acquisition applications. Priced at $143/each in volume orders of 100+ units, this high performance 5-port network switch provides a simple method for networking up to five embedded computing devices with 10BaseT or 100BaseTX Ethernet connections.

Measuring only 3.550" x 3.775" in size, Parvus' 10/100 Ethernet Switching Hub now comes in two configurations for PC/104-based systems and two additional models designed to work with potentially any embedded computer environment (Compact PCI, VME, PMC, ETX, DIMM-PC, ISA, etc.). Ethernet connections are made through either onboard RJ-45 jacks or right-angle Molex connectors. The 4-pin Molex headers enable embedded systems to optionally mount RJ-45 jacks in a faceplate or enclosure using an optional Parvus cable set.

Each version of this embedded Ethernet switch offers IEEE 802.3 and IEEE 802.3u compliance with five auto-configurable 10/100 transceiver ports and independent Fast Ethernet media access controllers, as well as auto-MDI-MDIX network installation. The board is capable of operating within extended temperature ranges (-40ºC to +85ºC) and provides non-blocking switching performance for all data traffic environments, including backpressure and pause frame flow control schemes.

The two PC/104 models include a standard 104-pin/socket header for making power connection through the PC/104 bus. The other two embedded switch models forgo the PC/104 header and include a 2-pin Molex connector for external power connections. All versions include mounting holes to facilitate simple installation. Potential applications for these products might include machine monitoring, process control, test and measurement, environmental control, remote data acquisition, and communications gateways in avionics/aerospace, defense, factory automation, medical, telecom and transportation fields.

ABOUT PARVUS
Parvus Corporation is a leading manufacturer and systems integrator of modular embedded computer boards, enclosures, displays and systems based on the PC/104 circuit board standard.
Parvus Awarded $729K Contract from New York Metropolitan Transportation Agency's Metro-North Railroad for New Wireless Networking Technology

Parvus Wins Contract for Mobile IP Router and Wireless Modem Solution to be Deployed on Metro-North Railroad's M3A Rail Fleet

NEW YORK CITY and SALT LAKE CITY - October 31, 2006 - Parvus Corporation today announced it has received a contract from the New York State Metropolitan Transportation Agency's (MTA) Metro-North Railroad (MNR) valued at $728,800. MNR is the second largest commuter railroad in the United States, providing approximately 250,000 customer trips each weekday and some 73,000,000 trips per year.

MNR has purchased 80 DuraMART Mobile Access Routers (MARs) and 1XRTT Cellular Modem Kits from Parvus for deployment onboard its Budd M3A railcar fleet. This technology replaces obsolete Cellular Digital Packet Data (CDPD) radio equipment used by maintenance personnel in conjunction with the train's Event Recorder and Diagnostics Systems (ERDS) to monitor vehicle health data and maintain the fleet.

MNR successfully conducted field trials with the Parvus equipment during the Fall of 2005. The DuraMAR solution is a hardened version of the Cisco Systems' 3200 Series Wireless and Mobile Router, which has been ruggedized and enhanced by Parvus to withstand the harsh vehicle environments onboard trains and other demanding mobile applications.

"Metro-North Railroad is truly looking toward the future by connecting legacy vehicle systems to their enterprise data network," said Parvus Director of Business Development Andrew Hunt. "Working together with MNR and Cisco Systems, we solved an immediate problem of replacing an obsolete radio system, but at the same time, we also inserted a layer of networking technology which will support future applications for years to come."

The DuraMAR router leverages Cisco's industry standard IOS® software and support for the Mobile IP (IETF RFC 2002) Internet standard to enable transportation and military systems integrators to explore a wide range of new in-vehicle networking applications, from wireless Internet access to Voice over IP (VoIP) to streaming CCTV video surveillance and smart vehicle diagnostics. Parvus' rugged IP networking solutions deliver secure data, voice and video communications to stationary and mobile network nodes across wired and wireless networks.

ABOUT PARVUS
